Grepny Terms of Service

Last updated: October 14, 2026

These Terms of Service (the "Terms") are a binding agreement between [Grepny, Inc.], a [Delaware] corporation ("Grepny," "we," "us," or "our"), and the organization that accepts them ("Customer" or "you"). They govern Customer's access to and use of the Services.

SECTION 20 REQUIRES DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION AND WAIVES JURY TRIALS AND CLASS ACTIONS. SECTIONS 17 THROUGH 19 DISCLAIM WARRANTIES, LIMIT GREPNY'S LIABILITY, AND REQUIRE CUSTOMER TO INDEMNIFY GREPNY. PLEASE READ THEM CAREFULLY.

1. Acceptance and Authority

1.1 Acceptance. Customer accepts these Terms on the earliest of (a) clicking or otherwise indicating acceptance, (b) signing or accepting an Order Form that references these Terms, or (c) accessing or using the Services.

1.2 Authority. The individual who accepts these Terms represents and warrants that they have authority to bind Customer. An individual without that authority must not accept these Terms or use the Services and is personally responsible for any use made without authority.

1.3 Business Use Only. The Services are offered only to organizations for business purposes and not to consumers. To the maximum extent permitted by law, laws that protect consumers do not apply to Customer's purchase or use of the Services.

1.4 Order Forms. Grepny may provide Services under an online order, quote, checkout page, or other ordering document accepted by Grepny (an "Order Form"). Order Forms state commercial terms such as the Services, Fees, and Subscription Term. If an Order Form conflicts with these Terms, these Terms control unless the Order Form expressly identifies the Section of these Terms that it overrides and is signed by an authorized officer of Grepny.

1.5 No Other Terms. Terms in any purchase order, vendor registration form, supplier portal, or other Customer document are rejected, void, and of no effect, even if Grepny signs, accepts, or acknowledges that document.

3. The Services

3.1 Access. Subject to these Terms and payment of the Fees, Grepny will make the Services available to Customer during the Subscription Term for Customer's internal business purposes.

3.2 Changes to the Services. Grepny may add, change, suspend, or discontinue any feature, functionality, model, Third-Party Service, or other component of the Services at any time. If a change materially reduces the core functionality of paid Services during a prepaid Subscription Term, Customer's sole and exclusive remedy is to terminate the affected Services by written notice within 30 days after the change and receive a refund of prepaid Fees for the unused portion of that Subscription Term.

3.3 Pilots, Trials, and Previews. Grepny may offer pilots, trials, previews, beta features, or other early-access services free of charge or at reduced Fees ("Pilot Services"). Pilot Services are provided "as is," without any warranty, support, or service commitment, may be changed or ended at any time, and may be subject to additional terms. Grepny's total liability for Pilot Services is limited to US $100.

3.4 Methods and Personnel. Grepny determines the methods, tools, models, personnel, contractors, and independent reviewers it uses to perform the Services. Grepny personnel, contractors, and reviewers may access and review Customer Data, including Participant Content, to configure Studies, prepare and review Outputs, provide support, maintain quality and safety, and enforce these Terms.

3.5 Third-Party Services. The Services rely on Third-Party Services, including third-party AI models. Grepny may select, replace, or stop using any Third-Party Service at any time. Grepny is not responsible for Third-Party Services and makes no commitment about their availability, performance, or output. If Customer enables an integration with a Third-Party Service, Customer authorizes the exchange of data with that service, and that service's terms govern its use.

3.6 Support and Availability. Grepny will provide the support described in the Documentation or an Order Form, if any. The Services may be unavailable from time to time, including for maintenance. Grepny has no service-level obligation unless an Order Form signed by Grepny expressly includes one, in which case the remedies stated there are Customer's sole and exclusive remedies for any failure to meet it.

3.7 No Duty to Monitor. Grepny has no obligation to monitor, review, verify, or moderate Customer Data, Participant Content, or Outputs, but may do so at its discretion for any purpose permitted by these Terms.

3.8 Usage Limits. The Services are subject to the usage limits stated in the Order Form or Documentation, such as the number of Studies, Participants, or Authorized Users. Grepny may throttle, suspend, or charge additional Fees for use that exceeds those limits.

3.9 Voice Interviews. Grepny may conduct Interviews by voice. Grepny records and transcribes a voice Interview only after the Participant consents through the Services, and processes recordings and transcripts as described in these Terms and the Participant Notice. Customer authorizes this recording, transcription, and processing. Grepny does not provide recordings to Customer unless an Order Form signed by Grepny provides for it and Participants are informed before the Interview. Customer is responsible for enabling the text option where a Participant needs it, including as a reasonable accommodation, and for any workplace monitoring or recording notices that Applicable Law requires Customer to give.

4. Accounts, Authorized Users, and Participants

4.1 Accounts. Customer will provide accurate and complete account information and keep it current. Customer is responsible for all activity under its accounts and for the acts and omissions of its Authorized Users and anyone else who accesses the Services through Customer's accounts, as if they were Customer's own.

4.2 Credentials. Customer will keep login links, credentials, and access tokens confidential and will notify Grepny promptly of any unauthorized access or use. Grepny is not liable for any loss arising from use of Customer's credentials or access links, whether or not authorized by Customer.

4.3 Participants. Customer decides whom to invite to a Study. Participants are not parties to these Terms and have no rights under them. Grepny may require Participants to accept the Participant Terms of Use in Exhibit A, the Participant Notice, or other terms before an Interview, and may decline, pause, limit, or end any Interview at its discretion.

4.4 Invitations and Communications. Customer authorizes Grepny to send invitations, reminders, follow-up questions, and other Study communications to Participants on Customer's behalf by email or other channels. Customer represents and warrants that it has the right to provide Roster Data and to have Grepny contact Participants for these purposes.

4.5 Participant Eligibility. Unless Grepny agrees otherwise in writing, Customer will invite only Participants who are at least 18 years old and are located in the United States at the time of the Interview. Customer is solely responsible for any consequences of inviting any other individual.

5. Customer Responsibilities

5.1 General Responsibility. Customer is solely responsible for (a) its use of the Services, Outputs, and Reports; (b) determining whether the Services are suitable for its purposes; (c) its decisions and actions, and its failures to act, in connection with any Study; and (d) complying with all Applicable Law, including employment, labor, anti-discrimination, privacy, data protection, recording, and artificial-intelligence laws.

5.2 Notices and Consents. Before any Interview, Customer will (a) give Participants all notices required by Applicable Law, including notices about the use of artificial intelligence and the collection, use, and disclosure of Personal Data; (b) obtain all consents and authorizations required by Applicable Law, including for any recording or transcription; and (c) ensure that it has all rights needed for Grepny to process Customer Data as described in these Terms. The Participant Notice and any templates Grepny provides are for convenience only and do not relieve Customer of these obligations. Customer is responsible for the adequacy of any notice it gives or adopts.

5.3 AI and Employment Laws. Customer is solely responsible for determining whether its use of the Services is subject to, and for complying with, laws that govern automated decision systems, artificial intelligence in employment, workplace monitoring, and employee data. These include, as applicable, the CCPA, regulations under the California Fair Employment and Housing Act, the Illinois Human Rights Act, Colorado law, New York City Local Law 144 of 2021, and the National Labor Relations Act. Customer is responsible for any notices, bias audits, impact or risk assessments, explanations, appeals, reasonable accommodations, human review, and record retention that those laws require. Grepny does not perform any of these obligations for Customer unless it expressly agrees to do so in an Order Form signed by Grepny.

5.4 Reporting Channels. Customer will maintain its own channels through which employees can report harassment, discrimination, retaliation, safety concerns, and other misconduct, will make those channels known to Participants, and will not describe the Services to anyone as such a channel.

5.5 Customer Data. Customer is solely responsible for the accuracy, quality, legality, and integrity of Customer Data and for the means by which it was obtained. Customer represents and warrants that Customer Data, and Grepny's processing of Customer Data in accordance with these Terms, do not and will not violate Applicable Law, any privacy notice or policy of Customer, or any third party's rights.

5.6 Records. Customer is solely responsible for retaining any Outputs, Reports, records, or data that Applicable Law requires it to retain, including by exporting them from the Services before they are deleted under Section 11.

5.7 Cooperation. Customer will provide the information, access, decisions, and assistance that Grepny reasonably requests to perform the Services. Grepny is not responsible for any delay or failure caused by Customer's failure to do so.

6. Acceptable Use and Restrictions

6.1 Restrictions. Customer will not, and will not permit any Authorized User or third party to:

  • (a) use any Output or Report, alone or with other information, to make, support, or inform any decision about any individual's hiring, promotion, demotion, compensation, benefits, discipline, termination, performance evaluation, or eligibility for employment or for any employment opportunity (each, a "Restricted Employment Decision");
  • (b) use any Output as the sole basis for any other decision that affects an individual's duties, role, or working conditions, without independent review by a qualified person who has the authority to make a different decision;
  • (c) attempt to identify, single out, or re-identify any Participant, or to determine which Participant provided particular content, except to the extent the Services expressly display that information;
  • (d) take any adverse action against any individual because the individual participated or declined to participate in a Study, or because of the content of the individual's responses;
  • (e) use the Services to monitor, solicit, or collect information about union activity or other concerted activity protected by law, or to conduct surveillance of employees;
  • (f) use the Services to seek information about health, disability, genetic information or family medical history, pregnancy, religion, race, ethnicity, national origin, sex, sexual orientation, gender identity, age, citizenship or immigration status, criminal history, union membership, or other characteristics protected by Applicable Law, or submit such information, except where Participants volunteer it on their own;
  • (g) submit government identification numbers, financial account or payment card numbers, protected health information, biometric identifiers, or other data subject to heightened legal requirements, unless Grepny agrees in writing, or ask Grepny to identify individuals by their voice, create voiceprints, or infer emotions, health, or other personal characteristics from voice or speech;
  • (h) use the Services in violation of Applicable Law or for any fraudulent, deceptive, harassing, discriminatory, or harmful purpose;
  • (i) copy, modify, translate, or create derivative works of the Services or Grepny Materials, or reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, models, weights, prompts, question banks, criteria, or methodologies of the Services, except to the extent Applicable Law expressly prohibits this restriction;
  • (j) access or use the Services or Outputs to build, train, benchmark, or support a competing product or service, or to extract or replicate Grepny Materials;
  • (k) use Outputs to develop or train any artificial-intelligence model;
  • (l) sell, resell, sublicense, lease, lend, or otherwise make the Services available to any third party, or use the Services on behalf of or for the benefit of any third party, except as permitted by Section 6.3;
  • (m) interfere with or disrupt the Services, probe, scan, or test their vulnerability, circumvent security measures or usage limits, or access the Services by automated means except through interfaces that Grepny provides;
  • (n) publish or disclose the results of benchmarks or performance tests of the Services without Grepny's prior written consent;
  • (o) remove or obscure any proprietary notices; or
  • (p) use the Services in violation of the Documentation.

6.2 Enforcement. Grepny may investigate any suspected violation of this Section 6 and may suspend access, restrict or remove content, withhold or withdraw Outputs, or terminate these Terms under Section 16. Grepny's failure to act on any violation does not waive its rights.

6.3 Consultants. Customer may use the Services to conduct Studies for its own clients only if an Order Form signed by Grepny permits it. In that case, Customer is responsible for obtaining all rights, notices, and authorizations from its clients and their personnel, for its clients' compliance with these Terms, and for any claim by its clients, and its clients have no rights against Grepny.

7. AI Outputs; No Professional Advice

7.1 Nature of Outputs. Outputs are generated by probabilistic AI systems, with or without human review. They may be inaccurate, incomplete, biased, outdated, or inconsistent, may misstate what Participants said, and may not reflect the views of all Participants. The same or similar Outputs may be generated for other customers.

7.2 Decision Support Only. Outputs and Reports are decision-support materials about organizational structure, roles, responsibilities, decision rights, and processes. They are not legal, human resources, employment, compliance, financial, medical, or other professional advice and do not replace Customer's own judgment, investigation, and verification. Customer is solely responsible for evaluating Outputs and for all decisions and actions it takes, or fails to take, based on them.

7.3 No Assessment of Individuals. The Services are not designed or intended to assess, score, rank, rate, or predict the characteristics, abilities, performance, conduct, or suitability of any individual. Customer will not use them for any of these purposes.

7.4 Human Review. Customer will ensure that any decision informed by Outputs is made by a person who has the competence and authority to evaluate the Outputs and to make a different decision, and will document that review where Applicable Law requires.

7.5 Recommendations Are Proposals. Any recommendation, proposed role, or proposed owner in an Output is a proposal for Customer's consideration. Grepny does not assign duties, approve changes, or make decisions for Customer.

8. Sensitive Disclosures; Not a Reporting Channel

8.1 Not a Reporting or Emergency Channel. The Services are not a hotline or a complaint, whistleblower, grievance, or emergency channel, and are not monitored in real time. Grepny is not Customer's agent for receiving complaints, reports, or notice of any matter relating to employment, workplace conduct, or safety.

8.2 No Duty to Detect. Grepny may use automated and human methods to identify potential Sensitive Disclosures, but has no obligation to do so and does not guarantee that it will identify any Sensitive Disclosure.

8.3 Designated Contacts. Customer will designate in writing a primary and an alternate individual to receive notices about Sensitive Disclosures (each, a "Designated Contact"). At least one Designated Contact must not be Customer's chief executive officer, and each must be authorized to receive and act on reports of misconduct. Customer will keep these designations current. Grepny may rely on any designation it receives through Customer's account.

8.4 Grepny's Discretion. If Grepny identifies a potential Sensitive Disclosure, Grepny may, in its sole discretion and without any obligation to Customer or any Participant:

  • (a) restrict access to the relevant Participant Content or exclude it from Outputs;
  • (b) provide the Participant with information about Customer's reporting channels or external resources;
  • (c) notify a Designated Contact with the information Grepny considers appropriate, or, if the disclosure appears to concern a Designated Contact or Customer's senior leadership, notify the other Designated Contact or another person Grepny reasonably considers appropriate, such as Customer's legal counsel or a member of its board; and
  • (d) contact emergency services or crisis resources if Grepny believes in good faith that there is a risk of imminent harm.

Customer authorizes each of these actions and the related disclosures.

8.5 Customer's Responsibility. Customer is solely responsible for investigating and responding to any Sensitive Disclosure or other information it receives through the Services, and for complying with its obligations under Applicable Law. Grepny has no obligation to investigate, follow up, preserve evidence beyond its standard retention practices, or take any other action.

8.6 Release. To the maximum extent permitted by law, Customer releases Grepny and its Affiliates, personnel, and Subprocessors from all claims arising from the identification or failure to identify, or the handling, notification, or non-notification of, any Sensitive Disclosure, except to the extent caused by Grepny's willful misconduct.

9. Data Rights

9.1 Customer Data. As between the parties, Customer retains its rights in Customer Data, subject to the rights granted to Grepny in these Terms.

9.2 License to Grepny. Customer grants Grepny, its Affiliates, and its Subprocessors a worldwide, non-exclusive, royalty-free, fully paid-up license to host, copy, store, transmit, display, analyze, modify, translate, create derivative works from, and otherwise process Customer Data in order to:

  • (a) provide, maintain, support, and secure the Services;
  • (b) develop, improve, test, evaluate, train, and fine-tune the Services and Grepny Models;
  • (c) create De-identified Data and Aggregated Data;
  • (d) prevent and investigate fraud, abuse, security incidents, and violations of these Terms;
  • (e) comply with Applicable Law and legal process; and
  • (f) establish, exercise, and defend legal claims and protect the rights, property, and safety of Grepny, its customers, Participants, and others.

This license continues for as long as Grepny retains Customer Data under Section 11. Grepny's processing of Customer Personal Data under this license is subject to Section 10.

9.3 Model Training and Improvement. Grepny may use Customer Data, including Participant Content and Outputs, to train, fine-tune, evaluate, and improve the Services and Grepny Models. Where Applicable Law limits the purposes for which a service provider or processor may use Personal Data, Grepny will use Customer Personal Data for these purposes only as Applicable Law permits and will otherwise use De-identified Data or Aggregated Data. Grepny will not use Customer Personal Data to perform services for another customer. Grepny's use of Participant Content is also subject to the choices that Participants make under the Participant Notice.

9.4 De-identified and Aggregated Data. Grepny may create De-identified Data and Aggregated Data from Customer Data, Outputs, and Usage Data. Grepny owns all De-identified Data and Aggregated Data and may use, disclose, license, commercialize, and publish them for any purpose during and after the Subscription Term, including to develop products, benchmarks, research, insights, and Grepny Models, provided that Grepny does not identify Customer or any individual as their source. Grepny will maintain De-identified Data in de-identified form and will not attempt to re-identify it, except as Applicable Law permits.

9.5 Usage Data. Grepny may collect Usage Data and owns it. Grepny may use Usage Data for any lawful purpose, including to operate, analyze, secure, and improve the Services and to develop new products and services.

9.6 Feedback. Customer grants Grepny a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, and sublicensable license to use, disclose, and exploit Feedback for any purpose without restriction, attribution, or compensation. Grepny has no obligation to use Feedback.

9.7 Outputs and Reports. As between the parties, Grepny owns all Outputs, excluding the Customer Data contained in them. Subject to Customer's compliance with these Terms and payment of the Fees, Grepny grants Customer a non-exclusive, non-transferable, non-sublicensable, perpetual license to use, copy, and modify the Reports and other Outputs delivered to Customer for Customer's internal business purposes, and to share them with Customer's directors, advisors, and auditors who are bound by confidentiality obligations. Grepny may terminate this license if Customer breaches Section 6.

10. Data Protection

10.1 Roles. To the extent Grepny processes Customer Personal Data on Customer's behalf, Customer is the "business" or "controller," and Grepny is a "service provider" or "processor," as those terms are used in Applicable Law. Grepny acts on its own behalf when it processes Usage Data, account and billing information, De-identified Data, and Aggregated Data, and when it processes Personal Data for security, fraud prevention, legal compliance, and the defense of legal claims as Applicable Law permits.

10.2 Business Purposes. Grepny processes Customer Personal Data for the following specific business purposes: conducting Interviews of Participants; analyzing Participant Content and other Customer Data; generating Outputs and Reports about Customer's organizational structure, roles, responsibilities, decision rights, and processes; communicating with Participants and Authorized Users; providing support; maintaining, securing, and improving the Services; and any other purpose that Applicable Law permits for service providers and processors.

10.3 CCPA Terms. To the extent the CCPA applies to Customer Personal Data, Grepny:

  • (a) will not sell or share Customer Personal Data, as "sell" and "share" are defined in the CCPA;
  • (b) will not retain, use, or disclose Customer Personal Data for any purpose, including any commercial purpose, other than the business purposes in Section 10.2 or as otherwise permitted by the CCPA, and will not retain, use, or disclose it outside the direct business relationship between Grepny and Customer;
  • (c) will not combine Customer Personal Data with Personal Data that Grepny receives from or on behalf of another person, or collects from its own interactions with individuals, except as the CCPA permits;
  • (d) will comply with the obligations that the CCPA imposes on service providers and provide the level of privacy protection that the CCPA requires;
  • (e) will notify Customer if Grepny determines that it can no longer meet its obligations under the CCPA;
  • (f) will reasonably cooperate with Customer, at Customer's expense, in responding to verifiable consumer requests that Customer is required to fulfill; and
  • (g) will impose on any Subprocessor written terms that contain the restrictions the CCPA requires.

Customer may, on written notice, take reasonable and appropriate steps to stop and remediate any unauthorized use of Customer Personal Data. To help Customer confirm that Grepny uses Customer Personal Data consistently with Customer's obligations under the CCPA, Grepny will respond to a reasonable written questionnaire from Customer no more than once in any 12-month period. Grepny certifies that it understands and will comply with the restrictions in this Section 10.3.

10.4 Subprocessors. Customer authorizes Grepny to engage Subprocessors. Grepny maintains a list of Subprocessors in the Documentation and may add or replace Subprocessors at any time by updating that list. If Customer objects to a new Subprocessor on reasonable data-protection grounds by written notice within 10 days after the update, Customer's sole and exclusive remedy is to terminate the affected Services and receive a refund of prepaid Fees for the unused portion of the Subscription Term.

10.5 Location. Grepny and its Subprocessors may process Customer Data in the United States and in any other country in which they operate.

10.6 Security. Grepny will maintain commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Data. No security measure is perfect, and Grepny does not guarantee that Customer Data will be free from unauthorized access, loss, or alteration.

10.7 Security Incidents. If Grepny confirms unauthorized access to Customer Personal Data in systems that Grepny controls, Grepny will notify Customer as required by Applicable Law and provide the information reasonably available to Grepny that Customer needs to meet its own legal obligations. Grepny's notice of or response to an incident is not an acknowledgment of fault or liability.

10.8 Participant Requests. Grepny may respond directly to Participants' requests about their own Participant Content, including requests to correct or withdraw responses, as described in the Participant Notice, and may refer other requests to Customer. Customer is responsible for responding to requests that Applicable Law requires Customer to fulfill.

10.9 No Guarantee of Anonymity. Grepny applies aggregation, redaction, and other measures designed to reduce the risk that Participants can be identified in Reports. Particularly in small organizations, Participants may nevertheless be identifiable from context. Grepny does not guarantee the anonymity or confidentiality of any Participant or response toward Customer or anyone else.

11. Withdrawal, Retention, Deletion, and Legal Holds

11.1 Participant Withdrawal. Participants may withdraw from a Study as described in the Participant Notice. If a Participant withdraws before Grepny publishes the Report for that Study, Grepny will exclude the Participant's Participant Content from that Report. If a Participant withdraws after publication, Grepny will delete the Participant's Participant Content in accordance with its retention practices, but neither Grepny nor Customer is required to withdraw, revise, or reissue any published Report, De-identified Data, or Aggregated Data. Grepny may revise a Report at its discretion.

11.2 Retention. Grepny retains Customer Data in accordance with its retention schedule in the Documentation, as updated from time to time, and may delete Customer Data, including Participant Content, Outputs, and Reports, at the end of the applicable retention period without further notice. Grepny has no obligation to retain Customer Data for any minimum period unless it agrees otherwise in an Order Form signed by Grepny.

11.3 Export and Deletion After Termination. For 30 days after termination or expiration of the Subscription Term, Customer may export the Reports then available in the Services, provided that Customer has paid all Fees due. After that period, Grepny may delete all Customer Data without liability. Grepny may retain Customer Data (a) in backups until they are overwritten in the ordinary course, (b) as required by Applicable Law or legal process, (c) as needed to establish, exercise, or defend legal claims or to enforce these Terms, and (d) as De-identified Data or Aggregated Data. Retained Customer Personal Data remains subject to Section 10.

11.4 Legal Holds. Customer is solely responsible for its own preservation obligations, including under litigation holds and record-retention laws. If Customer asks in writing that Grepny preserve specified Customer Data, Grepny may agree to do so for a defined period, at its discretion and subject to payment of Grepny's then-current fees and costs. Unless Grepny has agreed in writing, Grepny has no liability for deleting Customer Data in accordance with these Terms.

11.5 Extended Retention. Grepny may offer extended retention, archiving, or export services for additional Fees under an Order Form.

12. Legal Process

12.1 Disclosure. Grepny may access, preserve, and disclose Customer Data and other information if Grepny believes in good faith that doing so is reasonably necessary to (a) comply with Applicable Law, a subpoena, a court order, or other legal process or governmental request; (b) protect the rights, property, or safety of Grepny, its customers, Participants, or others; or (c) enforce these Terms.

12.2 Notice to Customer. If Grepny receives a third-party demand for Customer Data, Grepny may, where legally permitted and practicable, attempt to redirect the requester to Customer or notify Customer. Grepny is not required to challenge or seek to narrow any demand.

12.3 Costs. Customer will reimburse Grepny for its reasonable costs, including reasonable attorneys' fees, of responding to subpoenas and other legal process relating to Customer, Customer Data, or Customer's use of the Services, except in a proceeding in which Grepny and Customer are adverse parties.

13. Fees and Payment

13.1 Fees. Customer will pay the Fees stated in the Order Form or displayed at checkout. Unless an Order Form states otherwise, Fees are payable in advance in US dollars and are non-cancelable and non-refundable, except as expressly stated in Sections 3.2, 10.4, 16.3, and 21.2. Unused Studies, Interviews, credits, or capacity do not roll over and are not refundable.

13.2 Payment Authorization. If Customer pays by card or another electronic method, Customer authorizes Grepny and its payment processors to charge all Fees when due, including Fees for renewals, overages, and additional services.

13.3 Invoices and Late Payment. Invoiced Fees are due within 15 days after the invoice date. Overdue amounts accrue interest at the lesser of 1.5% per month and the highest rate permitted by law. Customer will reimburse Grepny for its costs of collection, including reasonable attorneys' fees.

13.4 Taxes. Fees do not include taxes. Customer will pay all sales, use, value-added, goods and services, withholding, and similar taxes and duties related to the Services, other than taxes on Grepny's net income. If Customer must withhold any tax, Customer will increase its payment so that Grepny receives the full amount it would have received without the withholding.

13.5 Renewal. Unless an Order Form states otherwise, each Subscription Term renews automatically for a period equal to the initial term unless either party gives notice of non-renewal at least 30 days before the end of the current term. Where Applicable Law requires a renewal reminder, Grepny will send it to the account email address.

13.6 Price Changes. Grepny may change Fees for any renewal term by notice at least 30 days before the renewal, and may change prices for new Studies, new Services, and additional usage at any time.

13.7 Billing Disputes. Customer must notify Grepny in writing of any good-faith dispute about a charge within 30 days after the charge or invoice date, or the charge is final. Customer will pay all undisputed amounts when due.

13.8 Suspension for Non-Payment. If any amount is more than 10 days overdue, Grepny may suspend the Services, withhold Reports, and suspend exports until all amounts are paid.

14. Intellectual Property; Publicity

14.1 Grepny Materials. Grepny and its licensors own all right, title, and interest in and to the Services and Grepny Materials, including all intellectual property rights in them. Customer hereby assigns to Grepny all rights it may have or acquire in any improvement, modification, or derivative of the Services or Grepny Materials, including any made at Customer's request or based on Feedback.

14.2 Residual Knowledge. Grepny may use for any purpose the general knowledge, skills, experience, ideas, concepts, know-how, and techniques that its personnel retain or that Grepny learns in providing the Services, including insights about organizational patterns, provided that in doing so Grepny does not disclose Customer's identity or Customer Data.

14.3 Publicity. Grepny may identify Customer as a customer, including by name and logo, on its website and in marketing materials. Customer may opt out by written notice to [legal@grepny.com], effective prospectively within a reasonable time. Grepny will obtain Customer's consent before publishing a case study that describes Customer's Study in detail.

14.4 Reservation of Rights. All rights not expressly granted in these Terms are reserved. No implied licenses are granted.

15. Confidentiality

15.1 Definition. "Confidential Information" means non-public information that one party (the "discloser") discloses to the other party (the "recipient") in connection with these Terms and that is marked as confidential or that a reasonable person would understand to be confidential. Grepny Materials, pricing, non-public features, and the terms of any Order Form are Grepny's Confidential Information. Customer Data is Customer's Confidential Information, but nothing in this Section 15 limits Grepny's rights under Sections 8 through 12 and Section 14.

15.2 Exclusions. Confidential Information does not include information that (a) is or becomes public without the recipient's breach, (b) the recipient knew without restriction before receiving it, (c) the recipient receives from a third party without a duty of confidentiality, or (d) the recipient develops independently.

15.3 Obligations. The recipient will use Confidential Information only to perform its obligations and exercise its rights under these Terms, and will protect it with at least reasonable care. The recipient may disclose Confidential Information to its and its Affiliates' employees, contractors, Subprocessors, advisors, auditors, insurers, financing sources, and actual or prospective acquirers who need to know it and are bound by confidentiality obligations.

15.4 Compelled Disclosure. The recipient may disclose Confidential Information when required by law or legal process. Section 12 governs Grepny's handling of demands for Customer Data.

15.5 Duration. These obligations continue for one year after termination or expiration of these Terms. Trade secrets, including Grepny's methodologies, question banks, prompts, and Grepny Models, remain protected for as long as they qualify as trade secrets, and Customer Personal Data remains subject to Section 10 for as long as Grepny retains it.

16. Term, Suspension, and Termination

16.1 Term. These Terms take effect when Customer accepts them and continue until all Subscription Terms have ended, unless terminated earlier under this Section 16.

16.2 Suspension. Grepny may suspend or limit access to all or part of the Services immediately, with or without notice, if Grepny reasonably believes that (a) Customer or any Authorized User has breached these Terms; (b) use of the Services poses a security, legal, regulatory, or reputational risk to Grepny, the Services, Participants, or others; (c) suspension is required by Applicable Law or legal process; or (d) any amount is overdue. Grepny will restore access once it is satisfied that the cause has been resolved. Fees continue to accrue during any suspension caused by Customer.

16.3 Termination by Grepny for Convenience. Grepny may terminate these Terms or any Order Form for any reason on 30 days' written notice. In that case, Grepny will refund prepaid Fees for the unused portion of the terminated Subscription Term, which is Customer's sole and exclusive remedy.

16.4 Termination for Cause. Either party may terminate these Terms by written notice if the other party materially breaches them and does not cure the breach within 30 days after receiving notice of it. Grepny may terminate these Terms immediately by written notice if Customer breaches Section 6, fails to pay any amount within 30 days after its due date, becomes insolvent, makes an assignment for the benefit of creditors, or becomes subject to any bankruptcy or similar proceeding.

16.5 Customer's Discontinuation. Customer may stop using the Services at any time. Fees for the current Subscription Term remain payable and are not refundable, except as expressly stated in these Terms.

16.6 Effect of Termination. On termination or expiration, all rights granted to Customer end and Customer will stop using the Services. Unless Customer terminated for Grepny's uncured material breach or Grepny terminated for convenience, Customer will pay all unpaid Fees for the remainder of the Subscription Term. Section 11.3 governs the export and deletion of Customer Data.

16.7 Survival. Sections 2, 5, 6, 7, 8.5, 8.6, 9, 10 (for as long as Grepny retains Customer Personal Data), 11 through 15, 16.6, 16.7, and 17 through 22, Exhibit A, and any other provision that by its nature should survive, survive termination or expiration of these Terms.

17. Disclaimers

17.1 General Disclaimer. THE SERVICES, OUTPUTS, REPORTS, PILOT SERVICES, DOCUMENTATION, AND THIRD-PARTY SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREPNY AND ITS AFFILIATES, LICENSORS, AND SUBPROCESSORS DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

17.2 Specific Disclaimers. WITHOUT LIMITING SECTION 17.1, GREPNY DOES NOT WARRANT THAT (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) ANY OUTPUT OR REPORT WILL BE ACCURATE, COMPLETE, UNBIASED, OR FIT FOR ANY PURPOSE; (C) THE SERVICES WILL IDENTIFY ANY PARTICULAR ISSUE, RISK, SENSITIVE DISCLOSURE, OR MISCONDUCT; (D) PARTICIPANTS WILL TAKE PART OR RESPOND TRUTHFULLY OR COMPLETELY; (E) ANY PARTICIPANT OR RESPONSE WILL REMAIN ANONYMOUS OR UNIDENTIFIABLE; OR (F) CUSTOMER'S USE OF THE SERVICES OR OUTPUTS WILL COMPLY WITH ANY LAW THAT APPLIES TO CUSTOMER OR ACHIEVE ANY PARTICULAR RESULT.

17.3 No Reliance. Customer acknowledges that it has not relied on any statement, representation, or promise that is not expressly set out in these Terms, including statements in marketing materials, proposals, demonstrations, or communications from Grepny personnel.

18. Limitation of Liability

18.1 Excluded Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL GREPNY OR ITS AFFILIATES, LICENSORS, OR SUBPROCESSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS; ANY LOSS OR CORRUPTION OF DATA; THE COST OF SUBSTITUTE SERVICES; OR ANY DAMAGES ARISING FROM EMPLOYMENT DECISIONS, CLAIMS BY CUSTOMER'S PERSONNEL, OR GOVERNMENTAL INVESTIGATIONS OF CUSTOMER, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

18.2 Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREPNY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS AND THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES ACTUALLY PAID BY CUSTOMER TO GREPNY FOR THE SERVICES GIVING RISE TO THE LIABILITY DURING THE 12 MONTHS BEFORE THE FIRST EVENT GIVING RISE TO LIABILITY AND (B) US $100. FOR PILOT SERVICES, SECTION 3.3 APPLIES INSTEAD.

18.3 Scope. These limitations apply to all claims, whether in contract, tort (including negligence), strict liability, statute, or otherwise, and even if a limited remedy fails of its essential purpose. They do not limit Customer's payment obligations or Customer's obligations under Sections 6 and 19. They do not apply to liability that cannot be limited or excluded under Applicable Law.

18.4 Allocation of Risk. The parties agree that these limitations are an essential basis of the bargain, reflect a reasonable allocation of risk, and are reflected in the Fees, and that Grepny would not provide the Services without them.

19. Indemnification

19.1 Customer's Indemnity. Customer will defend, indemnify, and hold harmless Grepny, its Affiliates, and their respective officers, directors, employees, contractors, and agents (the "Grepny Parties") from and against all third-party claims, demands, suits, investigations, and proceedings, and all resulting losses, damages, fines, penalties, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • (a) Customer Data, including any claim that Customer Data or its processing in accordance with these Terms violates Applicable Law or any third party's rights;
  • (b) use of the Services, Outputs, or Reports by Customer or its Authorized Users, including any employment-related or other decision, action, or omission based on them;
  • (c) any claim by a Participant, employee, applicant, contractor, or other individual relating to a Study, including claims of discrimination, retaliation, harassment, invasion of privacy, unlawful monitoring or recording, or failure to give notice or obtain consent;
  • (d) Customer's handling of, or failure to act on, any Sensitive Disclosure or other information received through the Services;
  • (e) Customer's breach of these Terms or violation of Applicable Law; and
  • (f) any governmental inquiry or investigation relating to Customer's use of the Services.

19.2 Procedure. Grepny will give Customer prompt notice of any claim for which it seeks indemnity; a delay relieves Customer of its obligations only to the extent the delay materially prejudices Customer. Customer will control the defense with counsel reasonably acceptable to Grepny, but may not settle any claim in a way that imposes any obligation or admission on a Grepny Party without Grepny's prior written consent. Grepny may participate with its own counsel at its own expense, and may assume control of the defense at Customer's expense if Customer fails to defend the claim diligently.

19.3 No Indemnity by Grepny. Grepny has no obligation to defend or indemnify Customer or any other person unless Grepny expressly agrees to do so in an Order Form signed by Grepny.

19.4 Enforceability. If Applicable Law limits any indemnity obligation in this Section 19 for a particular claim, the obligation applies to the maximum extent permitted by law.

20. Dispute Resolution

20.1 Informal Resolution. Before starting any arbitration or court proceeding, a party must send the other party written notice describing the dispute and the relief sought, and the parties will try in good faith to resolve the dispute for 30 days after the notice.

20.2 Binding Arbitration. Except as provided in Section 20.5, any dispute, claim, or controversy arising out of or relating to these Terms or the Services, including their formation, interpretation, validity, enforceability, or scope and the arbitrability of any dispute, will be resolved by final and binding arbitration administered by [JAMS] under its [Comprehensive Arbitration Rules and Procedures] then in effect, before a single arbitrator. The seat of arbitration is [Wilmington, Delaware], and hearings may take place by video conference. The arbitration will be conducted in English. Judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs this Section 20.

20.3 Individual Claims Only; Jury Waiver. Each party may bring claims against the other only in its individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate the claims of more than one party or preside over any class or representative proceeding. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL.

20.4 Confidentiality of Proceedings. The arbitration, its existence, and any award are confidential, except as needed to enforce or challenge an award or as required by law.

20.5 Exceptions. Grepny may bring an action to collect unpaid Fees in any court of competent jurisdiction. Either party may seek temporary, preliminary, or permanent injunctive relief in court to protect its intellectual property rights or Confidential Information, and Grepny may do so to protect the security or integrity of the Services. Either party may bring an individual claim in small-claims court.

20.6 Time Limit. To the maximum extent permitted by law, any claim against a Grepny Party arising out of or relating to these Terms or the Services must be brought within one year after the claim arises, or it is permanently barred.

20.7 Governing Law. These Terms and all disputes arising out of or relating to them or the Services are governed by the laws of the State of [Delaware], without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply.

20.8 Venue. Subject to this Section 20, the state and federal courts located in [New Castle County, Delaware] have exclusive jurisdiction over any action permitted to proceed in court, and each party consents to their personal jurisdiction and venue, except that Grepny may bring an action under Section 20.5 in any court of competent jurisdiction.

21. Changes to These Terms

21.1 Updates. Grepny may change these Terms from time to time and will post the updated Terms with a new "Last updated" date. For a material change, Grepny will also notify Customer by email or through the Services at least 15 days before the change takes effect, unless the change is required by Applicable Law or relates to new features or Services, in which case it may take effect immediately.

21.2 Acceptance. Customer's continued use of the Services after a change takes effect constitutes acceptance of the updated Terms. If a material change adversely affects Customer during a prepaid Subscription Term, Customer may, as its sole and exclusive remedy, terminate the affected Services by written notice before the change takes effect and receive a refund of prepaid Fees for the unused portion of that term.

21.3 Pending Disputes. A change to Section 20 does not apply to any dispute of which Grepny had actual notice before the change took effect.

21.4 Documentation and Policies. Grepny may update the Documentation, including its usage policies, retention schedule, and Subprocessor list, at any time. Updates are effective when published.

22. General

22.1 Independent Contractors; No Agency. The parties are independent contractors. These Terms do not create any partnership, joint venture, employment, fiduciary, or agency relationship. Grepny is not Customer's agent for any purpose, including for receiving complaints or reports or for making, recommending, or implementing any employment-related decision, and has no authority to bind Customer.

22.2 Assignment. Customer may not assign or transfer these Terms, by operation of law or otherwise, without Grepny's prior written consent. Grepny may assign or transfer these Terms without consent, including to an Affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or part of its business or assets. Any prohibited assignment is void. These Terms bind and benefit the parties and their permitted successors and assigns.

22.3 Subcontracting. Grepny may use subcontractors, contractors, and Subprocessors to perform its obligations.

22.4 Force Majeure. Grepny is not liable for any delay or failure to perform caused by events beyond its reasonable control, including failures of or changes to Third-Party Services or AI model providers, hosting or network failures, cyberattacks, labor disputes, acts of government, changes in law, epidemics, war, terrorism, and natural disasters.

22.5 Notices. Grepny may give notices to Customer by email to the account owner or billing contact, through the Services, or, for general notices, by posting them on its website. Notices by email are effective when sent, and notices through the Services or website are effective when posted. Customer must send legal notices to Grepny by email to [legal@grepny.com] with a copy by courier to [address]; they are effective when received.

22.6 Electronic Communications. Customer consents to receiving communications from Grepny electronically and agrees that electronic communications, acceptances, and signatures satisfy any legal requirement that they be in writing or signed.

22.7 Export Controls and Sanctions. Customer represents and warrants that neither it nor any Authorized User or Participant is located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions, or is on any U.S. government restricted-party list. Customer will comply with all applicable export-control and sanctions laws.

22.8 Anti-Corruption. Customer has not received or been offered any bribe, kickback, or other improper payment from any Grepny employee or agent in connection with these Terms.

22.9 U.S. Government Use. The Services are "commercial computer software" and "commercial computer software documentation" provided with only the rights granted in these Terms, as provided in FAR 12.212 and DFARS 227.7202.

22.10 No Third-Party Beneficiaries. Except for the Grepny Parties under Section 19, there are no third-party beneficiaries of these Terms. Participants, employees, and other individuals have no rights under these Terms.

22.11 Entire Agreement; Order of Precedence. These Terms, together with the Order Forms, Exhibit A, and the Documentation, are the entire agreement between the parties about the Services and supersede all prior and contemporaneous agreements, proposals, and representations. If there is a conflict, these Terms prevail, then the Order Form (subject to Section 1.4), then the Documentation.

22.12 Severability. If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions remain in full force and effect.

22.13 Waiver. No waiver is effective unless it is in writing and signed by the waiving party. A party's failure or delay in enforcing any provision is not a waiver.

22.14 Interpretation. Headings are for convenience only. "Including" means "including without limitation." These Terms will not be construed against either party as the drafter.

22.15 Equitable Relief. A breach of Section 6, 14, or 15 may cause Grepny irreparable harm for which damages would be an inadequate remedy, and Grepny may seek injunctive relief without posting a bond, in addition to any other remedies.

22.16 Language. These Terms are written in English. Any translation is for convenience only, and the English version controls.

Exhibit A — Participant Terms of Use

These Participant Terms of Use apply to anyone who takes part in an interview through Grepny at the invitation of their organization (the "Organization"). By starting an interview, you agree to them. If you do not agree, do not start or continue the interview.

1. What Grepny Does. Grepny conducts AI-assisted interviews for the Organization to understand how work, roles, responsibilities, and decisions are organized. You will be interacting with an AI interviewer. Grepny personnel and reviewers may read your responses and listen to recordings.

2. Taking Part. You may skip questions, pause, or stop an interview at any time. You may withdraw as described in the Participant Notice. If you choose a voice interview, your voice will be recorded and transcribed as described on the consent screen and in the Privacy Policy. Please take the interview where others cannot be heard, and do not record other people without their permission.

3. How Your Responses Are Used. The Participant Notice explains what information Grepny collects, how it is used and shared, how long it is kept, and the choices you have. In short, Grepny processes your responses on behalf of the Organization to produce reports about how work is organized, and to operate and improve its services, as described in the Participant Notice.

4. Confidentiality Is Not Guaranteed. Reports combine and edit responses to reduce the chance that individuals can be identified. In a small organization, colleagues or leaders may still be able to infer who said something. Share only what you are comfortable sharing.

5. Not a Complaint or Emergency Channel. The interview is not a way to report harassment, discrimination, retaliation, safety concerns, or other misconduct, and it is not monitored in real time. Use the Organization's reporting channels for these matters. In an emergency, call 911. If you are thinking about harming yourself, call or text 988. If you share information that suggests any of these matters, Grepny may share it with a person the Organization has designated or with emergency services, as described in the Participant Notice.

6. Your Conduct. Do not share information you are not allowed to disclose, such as another company's confidential information; sensitive personal information about yourself or others, such as health information; or unlawful, threatening, or harassing content. Do not attempt to manipulate, disrupt, or misuse the interviewer or the service.

7. AI Limitations. Questions and summaries are generated by AI and may be inaccurate. Where the service shows you a summary of your answers, please review it and correct anything that is wrong.

8. License. You grant Grepny and the Organization a worldwide, royalty-free license to use, copy, analyze, and create derivative works from your responses for the purposes described in the Participant Notice.

9. Disclaimer and Limitation. To the maximum extent permitted by law, the interview service is provided "as is," and Grepny will not be liable to you for any indirect, incidental, special, or consequential damages arising from your participation. Nothing in these terms limits any right you have under applicable privacy or employment law that cannot be waived, or affects any right you have against the Organization.

10. Changes and Contact. Grepny may update these terms; the version shown when you start an interview applies to that interview. Questions may be sent to [privacy@grepny.com]. These terms are governed by the laws of the State of [Delaware], except where the law of your place of residence requires otherwise.
